益萊科技有限公司 PointCool Service Agreement (Revised)
These Terms of Service are established by 益萊科技有限公司 (Unified Business No.: 91104166, hereinafter “Party A”) to govern matters related to the provision of PointCool (hereinafter, the “Service”). Any buyer using the Service (hereinafter “Party B”) is deemed to have read, understood, and agreed to be bound by all terms herein. Upon completing the member registration process, Party B is deemed to have formed a valid contractual relationship with Party A.
I. Acknowledgment and Acceptance of Terms
Consent of Legal Representative
If Party B does not have full legal capacity under the laws of the Republic of China (Taiwan), the Service must be used with the consent and in the presence of a legal representative. By using the Service, it is presumed that the legal representative has read and agreed to all provisions herein. If Party B fails to truthfully disclose their age or legal capacity, all resulting legal liabilities shall be borne by Party B, and no claims or damages may be asserted against Party A on such grounds.
Right to Amend
Party A reserves the right to amend these Terms at any time without separate individual notice. Party B should review updates regularly. Continued use of the Service constitutes acceptance of the amended Terms. If Party B disagrees, Party B should cease using the Service.
Usage Restrictions and Responsibilities
The Service is for Party B’s personal use only and may not be assigned, shared, or disclosed to any third party. Party B shall be solely responsible for any disputes arising from the use of the Service with third parties or Party A. If Party A suffers any loss as a result, Party A may seek compensation from Party B.
II. Scope of Service and Fees
Scope of Service
Acting upon Party B’s entrustment, Party A will engage with overseas suppliers to perform collect-and-forward payments, pay on behalf, or purchase on behalf, and will complete related payment processing in Party A’s name. Party B understands and agrees that Party A may charge reasonable fees for the services provided.
Fees
Party B shall pay fees consisting of:

Party A’s service fee;

Foreign exchange costs;

Original product cost; and

Other necessary expenses (such as taxes, handling fees, logistics, etc.).
Actual fees shall be as announced on Party A’s website or as confirmed in writing for the specific transaction. Any change to the fee schedule takes effect immediately upon announcement on the website.
III. Allocation and Limitation of Liability
Product Defects and Handling
Party A acts by Party B’s instructions as an entrusted purchasing agent and is not the actual seller of the goods. If a product has defects or is subject to a quality dispute, Party B shall assert claims directly against the original supplier. Party A will assist by providing relevant transaction information and contact details but makes no warranties regarding product quality, fitness for purpose, or legality.
Post-Completion Usage Risks
Once Party A has delivered the goods to Party B, the transaction is deemed complete. Any subsequent use of the goods or services (including, for example, actions in violation of official platform rules, cross-region top-ups, use of unauthorized plug-ins or similar tools) and any resulting losses or legal liabilities shall be solely borne by Party B. No compensation may be claimed from Party A.
Customs Inspection Risks
Party B must confirm that the items to be purchased are not prohibited or import-restricted. If goods are seized, returned, destroyed, or cannot clear customs due to import/export restrictions, all related risks and costs shall be borne by Party B, and no compensation may be claimed from Party A.
IV. Miscellaneous
Severability
If any part of these Terms is held invalid by a court or competent authority, the remaining provisions shall continue in full force and effect and shall not be affected.
Governing Law and Jurisdiction
These Terms shall be governed by the laws of the Republic of China (Taiwan). Any disputes arising hereunder shall first be resolved through good-faith negotiation. Failing agreement, the Taipei District Court, Taiwan shall be the court of first instance. However, where mandatory provisions of law (e.g., the Consumer Protection Act) provide otherwise, Party B may assert the jurisdiction of the court at Party B’s domicile.
Amendments and Announcements
If these Terms are amended, Party A will post the updated version on the website. Continued use of the Service by users constitutes acceptance of the revised content. If Party B disagrees, Party B may discontinue use of the Service.
